THE CONSTITUTION

Drawn up April 2008

1. NAME OF ASSOCIATION
The name of the Association shall be Turners Hill Park Residents Association.

2. AIMS OF THE ASSOCIATION
To safeguard and promote the interests of residents on matters concerning the homes and their environment and the social and community life of the Park.

3. MEMBERSHIP
Membership shall be open, regardless of nationality, political party, race or religious opinions to all residents of Turners Hill Park, over the age of sixteen years who are independent from the owner and who, together with any agent or employee of his, is excluded from membership.

4. MEMBERSHIP FEE
All members shall pay an annual membership fee, to be determined at the Annual General Meeting of the Association.

5. COMMITTEE
i) A Committee shall be elected to carry out the business of the Association.
ii) The Committee shall be made up of Chairman, Vice-Chairman, Secretary, Treasurer and other members, the whole being no less than seven persons in number.
iii) The Committee shall be elected at the Annual General Meeting of the Association. Vacancies on the Committee may be filled by co-option or election at a General Meeting.
iv) Officers shall carry out the duties given them by a General Meeting of the Association.
v) The Committee shall meet every 4 or 5 weeks.

6. ANNUAL GENERAL MEETING
i) There shall be an Annual General Meeting held once a year, on a date fixed by the Committee. The Secretary shall notify all members of the Annual General Meeting not less than fourteen days before the Meeting.
ii) At the Annual General Meeting, the Committee shall make a report of its activities; present a statement of accounts and shall then resign. The Annual General Meeting shall then elect, or re-elect the Committee, after which voting will take place on any recommendations, or motions, and any amendments to the Constitution.

7. OTHER GENERAL MEETINGS
A Special General Meeting, open to all members, will be held if ten or more members submit to the Secretary, in writing, a request for such a meeting, to take place within fourteen to twenty one days. In such an event, the Secretary will publicise the General Meeting at least five days in advance.

8. QUORUM
No General or Annual General Meeting shall take place if less than five members are present – two of whom must be Officers.

9. CHANGES TO THE CONSTITUTION
i) The Constitution may only be changed at the Annual General Meeting or at a Special General Meeting.

ii) All proposed changes must be submitted in writing to the Secretary at least fourteen days before the General Meeting.

iii) Any changes to the Constitution must be agreed by a majority of two-thirds of the votes cast by the members present.

10. DISSOLUTION OF THE ASSOCIATION
i) The Association may only be dissolved by a Special General Meeting called for that purpose.
ii) Such a meeting must be advertised at least fourteen days before the date of the meeting.
iii) A proposal to dissolve the Association shall only take effect if agreed by two-thirds of the votes cast by the members present.
iv) All funds and documents relating to the Association shall be disposed of in accordance with the wishes of the meeting.
